This Agreement is a legal agreement between you and TribalNet regarding your use of the services provided by the TribalNet (tribalnetonline.com) website. By using the Services, you are agreeing to the terms and conditions included in this Agreement.
TribalNet Services. This agreement covers your use of TribalNet Services on the TribalNet site. Our Services are available only to individuals who can
form legally binding contracts under applicable law, and therefore, excludes minors. In addition, since we will be notifying you via your email
address, you are certifying in this Agreement that you have the right to use your email address.
Use of the Services. You may use the Services for personal and business purposes. You agree that each registered member requires their own user account/login and that an account/login cannot be shared by more than one individual. You may not share, sell, lease or resell the services or information within the TribalNet website to or on
behalf of any other party. In addition, you may not use, or permit to be used, TribalNet Services in violation of any applicable law, regulation or
policy, or in violation of any third parties' rights.
Termination of Service. Either you or TribalNet may terminate this Agreement and the Services at any time and for any reason, but until that time it
remains in full force. You will receive an email notification if this agreement is ever amended. In addition, you may not assign this Agreement to
anyone else.
Your Information. TribalNet is against unsolicited e-mail (SPAM) as a matter of policy. You agree to not use the information within the TribalNet web site for the purpose of sending out unsolicited email to TribalNet customers or contacts, and furthermore you agree that failure to adhere to this will result in the termination of your access. However,
in order to support this service, you may receive advertisements within the email notifications you receive or within screens on TribalNet web
pages. While TribalNet will not knowingly divulge your email address or any other personal information to outside parties, you agree that TribalNet will
not be liable for acquisition or use of your information by any third party without TribalNet's knowledge or consent. In turn, you agree that TribalNet
will not be liable for the acquisition or use of personal information about you that is not under our control. TribalNet reserves the right to use your
comments, suggestions, writings or remarks in TribalNet literature and promotions. By using the Service, you agree to allow TribalNet to use your comments,
suggestions, writings or remarks without compensation or any other rights or interests. If TribalNet chooses to use your comments, suggestions, writings
or remarks, you agree that TribalNet does not need your consent.
Ownership. TribalNet has and shall retain all right, title and interest in and to any software or technology used in providing the Services, and all
intellectual property rights therein.
DISCLAIMERS. The availability of the Services depends on many factors, including your connection to the Internet, the availability of the TribalNet web
site or services, and equipment that is not, by its nature, fault tolerant. THE SERVICES ARE PROVIDED "AS IS". NO WARRANTIES ARE PROVIDED, WHETHER
WRITTEN OR ORAL, EXPRESSED OR IMPLIED, WITH RESPECT TO THE SERVICES, THE AVAILABILITY OR USE OF THE SERVICES, ANY INFORMATION OR PRODUCTS OBTAINED OR
DERIVED THROUGH USE OF THE SERVICES, THE TRANSMISSION, STORAGE OR USE OF YOUR INFORMATION, OR ANY PRODUCTS OR SERVICES USED IN CONJUNCTION WITH THE
SERVICES. TRIBALNET AND ITS SUPPLIERS SPECIFICALLY DISCLAIM THE IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGMENT AND FITNESS FOR A PARTICULAR
PURPOSE WITH RESPECT TO THE SERVICES, AVAILABILITY AND USE OF THE SERVICES, ANY INFORMATION OR PRODUCTS OBTAINED OR DERIVED THROUGH USE OF THE
SERVICES, AND ANY TRANSMISSION OR USE OF YOUR INFORMATION.
LIMITATION OF LIABILITY. IN NO EVENT WILL TRIBALNET, ITS SUPPLIERS, LICENSEES OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL,
EXEMPLARY OR CONSEQUENTIAL DAMAGES THAT RESULT OR ARISE OUT OF THE SERVICES, THE AVAILABILITY OR USE OF THE SERVICES, ANY INFORMATION OR PRODUCTS
OBTAINED OR DERIVED THROUGH USE OF THE SERVICES, ANY OTHER PRODUCTS OR SERVICES USED IN CONJUNCTION WITH THE SERVICES, OR ANY TRANSMISSION OR USE OF
YOUR INFORMATION.
Indemnification. You agree to indemnify and hold TribalNet harmless from and against any and all damages, liabilities, costs and expenses (including
reasonable attorneys' fees) incurred by TribalNet arising out of any use or misuse of the Services (including any information or products obtained or
derived through use of the Services) provided under this Agreement.
General. This Agreement constitutes the entire agreement between you and TribalNet with respect to the Services and supersedes all other agreements,
contemporaneous and prior, between You and TribalNet with respect to the Services. TribalNet's failure to enforce any provision of this Agreement will not
be construed as a waiver of any provision or right. No amendment or modification hereof will be valid or binding upon TribalNet unless assented to in
writing (including electronic assent) by TribalNet. In the event that a portion of this Agreement is held unenforceable, the unenforceable portion will
be construed in accordance with applicable law as nearly as possible to reflect the original intentions of the parties, and the remainder of the
provisions will remain in full force and effect. Waiver by TribalNet of a breach of any provision of this Agreement or the failure by TribalNet to exercise
any right hereunder shall not operate or be construed as a waiver of any subsequent breach of that right or as a waiver of any other right. TribalNet
will not be liable in any amount for failure to perform any obligation under this Agreement. TribalNet does not have any obligation to monitor use of the
Services, but TribalNet may do so and may also disclose information regarding your use of the Services to satisfy laws, regulations or other government
requests. Interpretation and enforcement of this Agreement will be governed by the laws of the State of Michigan (excluding its choice of law rules).
By using the Services, You hereby consent to personal jurisdiction in the federal and state courts of Michigan in any action arising out of or relating of use of the Services.
